Article I: Name
The name of this organization shall be “The Midwest Club,” hereinafter referred to as the “Club.”
Article II: Purpose
The purpose of the Club is to bring together residents of Kings Ridge who share common interests, promote community engagement, organize recreational, social, and educational activities for the betterment of the community.
Article III: Membership
- Membership in the Club is open to all residents of Kings Ridge, in good standing, who express interest in participating in the Club’s activities.
- Membership shall not be denied based on race, color, religion, gender, sexual orientation, age, or national origin.
- Dues are currently $10.00 per person receivable in January of each year. The club reserves the right to increase the dues at officers’ discretion with an announcement at a meeting.
Article IV: Officers
- The Club shall have the following officers: President, Vice President, Secretary, and Treasurer.
- Officers shall be elected by the members through a majority vote at the annual Midwest Club meeting.
- Officers shall serve a term of two (2) years and may be re-elected for consecutive terms.
- No officer or member may benefit financially from the proceeds of the club.
Article V: Meetings
- The Club shall hold regular meetings on a schedule determined by the officers.
- An annual meeting shall be held in January to elect officers, review the Club’s activities, and plan for the upcoming year.
- Special meetings may be called by the President or upon request by a majority of the members.
Article VI: Duties of Officers
- The President shall preside over meetings, represent the Club, and provide leadership.
- The Vice President shall assist the President and preside in their absence.
- The Secretary shall maintain meeting minutes, handle correspondence, and keep records of the Club’s activities.
- The Treasurer shall manage the Club’s finances, maintain accurate financial records, and provide financial reports to the members.
Article VII: Committees:
The officers may establish committees as needed to plan and organize specific events or initiatives. The officers shall appoint committee members.
Article VIII: Amendments:
These bylaws may be amended by a two-thirds majority vote of the members present at any regular or special meeting, provided that notice of the proposed amendment has been given to the members in advance.
Article IX: Dissolution:
In the event of the dissolution of the Club, any remaining funds or assets shall be distributed/donated to a charitable organization or organizations within the Clermont/Kings Ridge community, as determined by a majority vote of the remaining members.
Article X: Adoption:
These bylaws shall be adopted upon approval by a majority vote of the members present at a meeting called for that purpose.
Article XI: Parliamentary Authority:
Robert’s Rules of Order shall govern the proceedings of all Club meetings when not in conflict with these bylaws.
